COIMA SGR’s Board of Directors is chaired by attorney Cristiana Pislor and composed of other eight members, the Managing Director and two executive members in charge of the operational management as executives of the company, four independent directors, and one director designated by the minority shareholder.
The Board of Directors’ decision-making processes are enforced by the contribution of four Committees: the Investment Committee, the Remuneration Committee, the Conflicts Committee and the Control and Operational Risk Committee.
Controls over corporate management are first provided by the Board of Statutory Auditors and the internal Compliance and Anti money laundering, then the Risk Management, as well as by the Internal Audit function. COIMA SGR has also adopted an organisation, management and control model in accordance with Decree 231/2001 (the “Governance Model”), updated in response to the development of the Company’s organisational structure and regulatory and procedural changes, including the disciplinary system related to Whistleblowing. It has also appointed a supervisory body in compliance with the provisions of the Governance Model.
